Terms and Conditions – CocosBotanica Studio Scenting Campaign

These Terms and Conditions (“Agreement”) govern participation in the CocosBotanica Studio Scenting Campaign (“the Campaign”), a promotional initiative by CocosBotanica (“CocosBotanica”, “we”, “us”, “our”).

By registering to participate, the applicant (“Studio”, “you”, “your”) agrees to the following terms:

1. Eligibility

1.1. Participation is open to yoga and dance studios registered in Auckland or other approved territories.
1.2. Each applicant must submit the following to be considered:

  • Legal studio or company name
  • Registered HQ address
  • Name and contact number of a responsible representative
  • List of studio locations to be included in the campaign
  • Written acknowledgment agreeing to these Terms and Conditions.

2. Campaign Inclusions

2.1. Participating studios will receive:

  • One (1) electronic scent diffuser per approved studio location
  • Monthly scent refill deliveries for a total period of twelve (12) months
  • Complimentary support for diffuser maintenance and usage

3. Studio Obligations

3.1. Studios must:

  • Place the provided diffuser prominently at the reception or main entry area
  • Ensure the diffuser is clearly visible and operational during regular studio operating hours
  • Not conceal, tamper with, or relocate the diffuser without written approval from CocosBotanica
  • Maintain the diffuser in good condition and notify CocosBotanica of any issues

3.2. Studios agree not to substitute the provided scents or refill the diffuser with third-party products.

4. Ownership and Use

4.1. The diffuser remains the property of CocosBotanica for the duration of the campaign.

4.2. Studios may retain the diffuser at the end of the 12-month campaign only upon written confirmation from CocosBotanica.

5. Brand Representation

5.1. Studios agree to support brand visibility by allowing:

  • CocosBotanica branding or signage to be displayed alongside the diffuser
  • Non-intrusive promotional materials (e.g. small table tents or stickers) provided by CocosBotanica to remain visible in the reception area
  • Occasional photographs or short videos to be taken on-site by CocosBotanica for promotional purposes, subject to prior notice

6. Termination

6.1. CocosBotanica reserves the right to terminate this agreement at any time with immediate effect if:

  • The studio fails to comply with the stated obligations
  • The diffuser is found to be offline or hidden for prolonged periods
  • There is misuse, neglect, or damage to the equipment
  • The studio engages in conduct that may harm the reputation of CocosBotanica

6.2. Upon termination:

  • CocosBotanica reserves the right to retrieve the diffuser and end scent deliveries
  • The studio shall return the diffuser in reasonable working condition within 14 days of notice, or be invoiced for its full retail value (NZD125)

6.3. Studios may exit the campaign voluntarily by providing 30 days written notice, and agree to return the diffuser in good condition.

7. Limitation of Liability

CocosBotanica shall not be liable for:

  • Any disruption to studio operations resulting from diffuser use or malfunction
  • Any allergic or sensitivity reactions experienced by studio visitors (a full list of ingredients is provided upon request)
  • Any indirect, incidental, or consequential losses

8. Miscellaneous

8.1. CocosBotanica reserves the right to modify these Terms and Conditions at any time, with reasonable notice.
8.2. Participation in the Campaign does not create a partnership, joint venture, or employment relationship.
8.3. This Agreement is governed by the laws of New Zealand.
8.4. Disputes arising from this Agreement shall be resolved amicably, failing which they will be subject to the exclusive jurisdiction of the courts of New Zealand.
